There are three documents that govern why and how CMERA operates. They’re briefly summarized below with links to the actual documents.

  1. Articles of Incorporation

This document created CMERA as a legal entity by the State.  The founders of the organization filed this document with the State of Ohio and it was approved in June 1980.  The Articles established the name of the organization (CMERA), its location (Cincinnati), purpose (assist retirees), initial Trustees and declared it to be a not-for-profit organization.

  • Constitution

The Constitution expands upon the Articles of Incorporation by providing a more detailed and contemporary statement of CMERA’s organization and purpose.  It defines membership, mandates meetings, and outlines the administration of the organization.

  • Bylaws

The Bylaws of CMERA, including its Appendices, describe membership categories; meetings; dues; officers, duties and terms of officers and directors; role of committees; insurance requirements; audit policy; code of ethics; and other important aspects of the organization.  It is a document that helps ensure the corporation operates fairly, consistently, efficiently, and cost-effectively.
